I've set up a counter field but want to adjust the formula to count a conversation if the fields STATUS or STATUS__C are equal to COMPLETE and Event_Subject__c or Call_Task_Subject__c are equal to Conference Call - 1st.

If they both work broken out then they will also work together. You've got something going awry here, and you'll need to take a hard look at your data to see why. The formula is working as expected, so it must be the data that the formula is evaluating
